Welcome to Rogue Agentics!
These Terms of Service ("Terms") govern your access to and use of our website, software platform, workflows, and AI automation services ("Services"). By accessing or using our Services, you agree to comply with and be bound by these Terms. If you do not agree, you may not access or use our Services.
1. Acceptance & Authority
By using our Services, you confirm that you are at least 18 years of age and possess the legal capacity to enter into this agreement. If you are signing up on behalf of a business, corporation, or organization, you represent and warrant that you have the explicit authority to bind that entity to these Terms.
2. Description of Services
Rogue Agentics provides B2B AI-driven automation solutions, operational workflows, software-as-a-service (SaaS) features (including but not limited to automated messaging, missed-call text-back, and CRM tools), and custom technical setups.
We reserve the right to modify, update, or suspend features of our platform or service tiers at any time to improve performance or compliance.
3. Account Security
To access our platform or specialized software, you may be required to establish an account. You agree to:
Provide highly accurate, current, and complete registration data.
Maintain the strict confidentiality of your account credentials.
Notify us immediately of any suspected breach or unauthorized access.
You remain solely responsible for all activity occurring under your account session or API keys. Rogue Agentics is not liable for losses resulting from unauthorized account use.
4. Fees, Billing, and Renewals:
Billing Structure: Certain Services require recurring subscription, usage-based, or upfront setup fees. By selecting a paid tier, you authorize Rogue
Agentics to charge your designated payment method automatically on a recurring basis, inclusive of any applicable taxes.
No Refunds: All payments made to Rogue Agentics are billed in advance and are completely non-refundable unless explicitly stated otherwise in a separate written service agreement. Failure to settle balances promptly may result in immediate suspension or termination of service access.
Price Adjustment: We reserve the right to adjust pricing for our subscription tiers at any time. Price changes will be communicated in advance and take effect at the start of your subsequent billing cycle.
5. Limited License & Acceptable Use
Subject to full compliance with these Terms, Rogue Agentics grants you a limited, non-exclusive, non-transferable, and revocable license to utilize our software and services solely for internal business operations.
You strictly agree not to:
Decompile, reverse-engineer, or attempt to extract the source code of our platform.
Deploy our AI systems or text-back tools to transmit unsolicited communications, spam, harassment, or fraudulent material.
Violate regional, state, or federal laws regarding automated calling and messaging (such as the TCPA).
Remove or obscure any proprietary branding, copyright notices, or trademarks belonging to Rogue Agentics.
6. Client Content & AI Data
You retain sole ownership of all data, text, contacts, or operational materials you input into our systems.
By supplying data to our platform, you grant Rogue Agentics a worldwide, royalty-free, non-exclusive license to host, parse, and utilize this content solely to perform, troubleshoot, and optimize the automated workflows on your behalf. You are responsible for ensuring you have proper consent from your customers before processing their contact numbers or data through our automation.
7. Intellectual Property
All structural platform elements, underlying code, proprietary workflows, user interfaces, documentation, and digital designs are the exclusive property of Rogue Agentics or our software partners. These Terms grant no ownership transfer or rights to our intellectual property beyond the narrow operational license detailed in Section 5.
8. Third-Party Software Integrations
Our services natively interface with external software tools, communication carriers, and CRM platforms. Your utilization of third-party integrations is governed strictly by those external providers' terms. Rogue Agentics exercises no control over, and assumes no liability for, the availability, functionality, or policies of third-party systems.
9. Term and Termination
You may terminate your account or stop utilizing our services at any time by canceling your subscriptions through your portal dashboard. Rogue Agentics reserves the right to immediately suspend or terminate your access without prior notice if we determine, in our sole discretion, that your account has violated these Terms, local telecom compliance rules, or poses a system security threat.
Upon termination, your right to use our automation software ceases instantly, and data associated with the account may be permanently deleted.
10. Disclaimers & Limitation of Liability
As Is Baseline: Rogue Agentics provides its platform and AI configurations on an "as is" and "as available" basis, without warranties of any variety, express or implied. We do not guarantee that automation will be completely uninterrupted, entirely error-free, or compatible with all devices.
Liability Cap: To the maximum extent permitted by Florida law, Rogue Agentics shall not be held liable for any indirect, incidental, consequential, special, or punitive damages—including loss of profits, customer data, or operational downtime. In no event shall our total aggregate liability exceed the total fees paid by you to Rogue Agentics during the three (3) months immediately preceding the event giving rise to liability.
11. Indemnification
You agree to defend, indemnify, and hold harmless Rogue Agentics, its officers, employees, and agents from any legal claims, liabilities, damages, or costs (including attorney fees) arising directly out of your misuse of the platform, violation of these Terms, failure to secure proper consent for automated messaging, or infringement of any third-party rights.
12. Governing Law & Jurisdiction
These Terms and your operational relationship with Rogue Agentics shall be governed, construed, and enforced exclusively in accordance with the laws of the State of Wyoming, without regard to conflict of law principles. Any legal action, dispute, or proceeding arising under this agreement must be brought solely in the state or federal courts located in Wyoming.
13. Modifications to This Agreement
We reserve the right to amend these Terms at any time. We will notify you of material changes by updating the date at the top of this page or via dashboard notification. Continued reliance on or use of our software after updates go live constitutes full legal acceptance of the revised Terms.
